Corporate Governance Officer

On May 11, 2023, our company’s Board of Directors appointed Mr. Jiang Wenlong, Deputy Manager of the Management Center, as the Chief Governance Officer. He is responsible for overseeing corporate governance matters and is the highest-ranking officer in this area. Our Chief Governance Officer has over three years of experience in the financial management of publicly listed companies and has completed the required professional development as stipulated by regulations.

►The main responsibilities of the Chief Governance Officer of our company are as follows:

  1. Handling Board Meeting Matters: Notify all directors of the board meeting at least 7 days in advance and provide sufficient meeting materials to facilitate their understanding of the agenda. If a director has a conflict of interest related to the meeting agenda, they will be given a prior notice for abstention. After the meeting, distribute the meeting minutes to all directors.
  2. Handling Shareholders’ Meeting Matters: Announce the date of the shareholders' meeting annually within the legal deadline, prepare and submit meeting notices, agendas, and minutes before the deadline. Also, handle company registration changes following amendments to the company's articles of incorporation or changes in the board of directors and supervisors.
  3. Assisting in Compliance with Laws and Codes: Conduct regular training courses for directors annually and provide necessary information periodically to help directors understand the latest regulatory developments. Invite certified public accountants to at least two board meetings annually to discuss the impact of annual and semi-annual reports, international financial reporting standards, securities regulations, and tax regulations.
  4. Managing Investor Relations: Provide information on shareholders' meetings, major announcements, financial statements, financial and business presentations, and other relevant details.

  1. Assisted the Chairperson of the Board and committee chairpersons in convening and administering eight (8) Board meetings, seven (7) Audit Committee meetings, three (3) Remuneration Committee meetings, and two (2) Sustainability Development Committee meetings.
  2. Provided Directors with information regarding continuing education and training.
  3. Supplied Directors with materials necessary for the performance of their duties.
  4. Reported quarterly to the Board of Directors on regulatory compliance matters and promptly handled matters requested by Directors.
